Corporate Governance

The Board of Directors consists of between 13 and 15 members who are known for their expertise in air transportation, aviation, business, trade, finance, administration, law, management, engineering, labor organization, and consumer advocacy. Together they represent the regional business community. The Board of Directors outlines organizational guidelines and ensures their implementation together with the Chair and Chief Operating Officer and his team. With their combined expertise and diverse skills, these individuals help management carry out its responsibilities.

Guy Vachon became a member and director of Aéroport de Quebec inc. in 2008. He was appointed by Ville de Québec. He is Chairman of the Board of Directors and as such, sits on every Committee of the Board.

Mr. Vachon is a member of the Ordre des ingénieurs du Québec. He has held various management positions over the years.

Carl Tremblay became a member and director of Aéroport de Quebec inc. in 2008. He was appointed by Ville de Quebec. Mr. Tremblay was named Vice-President of the Board of Directors in 2010. He is also a member of the Planning and Development Committee.

Mr. Tremblay specializes in financing, mergers and acquisitions. He is Associate Director of the Ogilvy Renault law firm’s for the Quebec City office. He is a member of the Quebec Bar and he is listed in the prestigious Lexpert and The best Lawyers in Canada directories.

Michel Cadrin became a member and director of Aéroport de Quebec inc. in 2006. He was appointed by the Government of Canada. He is a member of the Executive Committee and the Planning and Development Committee

As a businessman with extensive experience in senior management, Mr. Cadrin is involved in various commercial activities. He is President of Groupe Michel Cadrin which includes a number of companies from different industries such as health, tourism, culture, sports, real estate, heavy trucking, and grocery.

Jacques Champagne became a member and director of Aéroport de Quebec inc. in 2004. He was appointed by the Quebec Government. He is President of the Audit and Risk Management Committee.

Mr. Champagne spent most of his career as a chartered accountant working for public accountants firm Mallette. He currently sits on several executive committees and boards.

Yvan-Miville Des Chênes became a member and director of Aéroport de Quebec inc. in 2004. He was appointed by the Quebec City Chamber of Commerce. He is President of the Environment, Safety and Security Committee.

Renowned worldwide for his tremendous expertise in aviation, Mr. Des Chênes spent most of his career as an air traffic controller.

Mr. Fortin is a member of the Ordre des comptables agréés du Québec and manages his own real estate development company, Imafa inc. Mr. Fortin is heavily involved in the community, including the Lévis 2011 celebration.

Mr. Gravel has been a labour relations specialist working for the Canadian Union of Public Employees for several years.

Liliane Laverdière became a member and director of Aéroport de Quebec inc. in 2010. She was appointed by the Quebec City Chamber of Commerce. Ms. Laverdière is a member of the Nominating, Governance and Human Resources Committee.

Liliane Laverdière has 32 years of experience with Desjardins. She is currently Vice-President, Business Development, Government Relations. Throughout her career, she has shown a real passion for economic development. She will be President of the Quebec City Chamber of Commerce until June, 2010, after which she will chair the Board of Directors until June 2011.

Former chief of police of Ville de Québec, Mr. Matte is now a Coordinator at the Notre-Dame-de-Foy campus’ Police Technology Department.

Jean Royer became a member and director of Aéroport de Quebec inc. in 2010. He was appointed by the Board of Directors. He is a member of the Audit and Risk Management Committee.

Mr. Royer has been Vice-President, Finance, of Desjardins Groupe d’assurances générales since April 2010. Prior to that, he held various senior executive positions in major organizations such as Co-Operators General Insurance Company, L’Union Canadienne assurances générales and Groupe Cossette Communication inc. Before that, he worked in the financial services industry as an investment banker with Scotia Capital. Jean Royer is a CFA, CMA and has a Master’s Degree in Finance.
Before retiring in 2008, Mr. Martineau was President and Chief Operating Officer of Desjardins Groupe d’assurances générales. He has a license in management from Laval University and has completed the Advanced Management Program at Harvard Business School. He is a member of the Ordre des comptables agréés du Québec and has a University certificate in governance from the Collège des administrateurs.

André C. Sarasin became a member and director of Aéroport de Quebec inc. in 2009. He was appointed by the Government of Canada. He is a member of the Environment, Safety and Security Committee.

Mr. Sarasin is a director of several organizations, including the Nordiques Foundation since it was created in 1995. He is also a former President and Chief Operating Officer of the Stadacona Paper Company and he is a member of the Ordre des ingénieurs du Quebec.

Denis Therrien became a member and director of Aéroport de Quebec inc. in 2010. He was appointed by Ville de Lévis. He is a member of the Planning and Development Committee.

Since 1998, Mr. Therrien has been CEO of the Marathon des Deux-Rives – Lévis/Quebec. He is extensively involved in the Greater Quebec City area and he is a member of the Ordre des comptables agréés.

Alain Vaillancourt became a member and director of Aéroport de Quebec inc. in 2007. He was appointed by the Quebec City Entrepreneurs’ Chambers of Commerce. He is the company’s treasurer and a member of the Nomination, Governance and Human Resources Committee.

Mr. Vaillancourt recently founded his own sales and marketing consulting firm, V strategies inc. He has held various positions in sales and marketing throughout his career.

Committees

The Board of Directors is backed by six committees: the Executive Committee, the Audit Committee, the Construction Committee, the Environment and Security Committee, the Governance and Human Resources Committee, and the Planning and Development Committee.

They act in compliance with Board decisions and ensure that the organization meets its legal obligations in the day-to-day management of its operations.

The Board of Directors is also supported by a Community Advisory Committee to help promote various issues to improve air services and airport infrastructures. Members of this committee attended regular construction site visits throughout the year. They in turn became key advocates of the airport terminal project and the services offered.
